If you are using the Services on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms.
Finnova provides financial technology infrastructure that enables businesses to build, manage, and operate financial workflows through our platform, APIs, and related services. Our Services may include payment processing; billing and subscription management; payouts; financial accounts; transaction management; fraud and risk tools; reporting and analytics; developer APIs and SDKs; documentation and developer tools; and other financial technology services we may introduce from time to time. Certain Services may be subject to additional terms, agreements, pricing, or eligibility requirements.
You may use our Services only if you are legally capable of entering into a binding agreement with Finnova and satisfy any applicable eligibility requirements. You may not use our Services if you are prohibited from doing so under applicable law; your use would violate applicable sanctions or regulations; you have previously been suspended or removed from the Services; or you do not have authority to enter into these Terms on behalf of the organization you represent. If you are using Finnova on behalf of a business, you are responsible for ensuring that the business and its users comply with these Terms.
Certain Services require you to create an account. You agree to provide accurate and complete information; keep your account information current; maintain the confidentiality of your credentials; use appropriate security measures to protect your account; notify us promptly of unauthorized access or suspected security incidents; and accept responsibility for activity occurring through your account, except where caused by our failure to maintain appropriate security measures. You may not share your account credentials with unauthorized individuals or use another person’s account without permission. We reserve the right to suspend or restrict accounts that violate these Terms or present security, fraud, legal, or operational risks.
You are responsible for your use of the Services and for ensuring that your use complies with all applicable laws and regulations. You agree not to use the Services for unlawful, fraudulent, or abusive purposes; attempt to gain unauthorized access to our systems; interfere with the operation or security of the Services; reverse engineer, decompile, or attempt to extract source code from our software except where permitted by law; circumvent security or access controls; introduce malicious code or harmful software; violate another person’s rights; misrepresent your identity, business, products, or transactions; facilitate prohibited or restricted activities; resell or sublicense the Services without authorization; or use automated systems in a manner that places unreasonable load on our infrastructure. We may take appropriate action if we believe your use presents a risk to Finnova, our users, financial institutions, payment networks, or other parties.
Finnova may work with banks, payment processors, financial institutions, card networks, identity providers, and other third parties to provide certain Services. Certain financial products or features may therefore be provided subject to additional terms imposed by those providers. You agree to comply with any applicable third-party terms and requirements. Finnova does not itself provide banking, lending, investment, insurance, tax, legal, or other regulated professional advice unless expressly stated otherwise. You are responsible for determining whether the Services are appropriate for your business and for obtaining any professional advice you require.
Where the Services enable you to process payments or other financial transactions, you are responsible for providing accurate transaction information; ensuring transactions are authorized; complying with applicable payment network rules; providing appropriate disclosures to your customers; handling refunds and disputes as required; maintaining appropriate records; and complying with applicable consumer protection and financial regulations. Transactions may be declined, delayed, reversed, held, or otherwise restricted where necessary to comply with applicable laws, network rules, security requirements, or risk controls. We may investigate transactions that we reasonably believe involve fraud, abuse, unauthorized activity, or other prohibited conduct.
7. Fees and Payment
You agree to pay all fees applicable to the Services you use. Applicable fees will be communicated through our pricing pages, order forms, agreements, or other applicable documentation. Unless otherwise stated, fees are calculated based on your use of the relevant Services; may be deducted from funds processed through the platform where applicable; you are responsible for applicable taxes; and fees are generally non-refundable except where required by law or expressly stated otherwise. We may change our pricing from time to time and will provide notice of material pricing changes before they take effect where required.
8. Intellectual Property
The Services, including our software, APIs, documentation, designs, trademarks, logos, content, and other materials, are owned by or licensed to Finnova and are protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose. You may not copy or reproduce proprietary materials except as permitted; modify or create derivative works; remove proprietary notices; use our trademarks without permission; or use our intellectual property to create a competing service. Nothing in these Terms transfers ownership of Finnova’s intellectual property to you.
9. Your Content and Data
You retain ownership of content, data, and information that you submit to the Services (“Your Content”). You grant Finnova the limited rights necessary to host, process, transmit, store, and otherwise use Your Content to provide, secure, maintain, and improve the Services. You represent that you have the necessary rights and permissions to provide Your Content to Finnova and are responsible for ensuring that it does not violate applicable laws or the rights of others. 10. APIs and Developer Tools
If you access our APIs, SDKs, CLI tools, or other developer resources, additional technical requirements may apply. You agree to keep API credentials secure; use credentials only for authorized purposes; follow applicable documentation and usage limits; respect rate limits and technical restrictions; not expose private credentials in client-side code or public repositories; not attempt to bypass API controls; and notify us if you discover a security vulnerability. We may introduce, modify, limit, or discontinue API endpoints and developer tools as our platform evolves. Where reasonably possible, we will provide advance notice of material breaking changes.
11. Third-Party Services
Our Services may integrate with or contain links to third-party products and services. Third-party services may have their own terms, privacy policies, fees, and requirements. Finnova is not responsible for third-party services that we do not control. Your use of those services is governed by the applicable third-party terms.
12. Beta Features
We may provide access to experimental, beta, or early-access features. These features may contain errors or defects; change significantly before release; be discontinued without notice; have limited documentation or support; or not be available in all locations. Beta features are provided for evaluation purposes and may be subject to additional terms.
13. Service Availability
We work to keep Finnova reliable and available, but we do not guarantee that the Services will always be uninterrupted, secure, or error-free. Services may occasionally be unavailable because of scheduled or emergency maintenance; network or infrastructure failures; third-party service interruptions; security incidents; events outside our reasonable control; or other operational circumstances. Where applicable, specific availability commitments may be established through a separate service-level agreement.
14. Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms; your use creates a security, fraud, legal, or regulatory risk; you fail to pay applicable fees; we are required to do so by law; a third-party provider requires us to do so; or we discontinue the relevant Service. Where reasonably possible, we will provide notice before suspension or termination unless immediate action is necessary to protect our users, systems, or legal interests. Termination does not eliminate obligations that by their nature should survive termination.
15. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. Finnova disclaims warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will meet every business requirement; always be available; that transactions will always be approved; financial losses will never occur; the Services will be completely free of errors or vulnerabilities; or information provided will always be complete or current. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Finnova and its affiliates, officers, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Services, including loss of revenue, profits, business opportunities, data, goodwill, or business interruption. Finnova’s aggregate liability arising out of or relating to the Services will be limited to the fees you paid for the applicable Services during the 12 months preceding the event giving rise to the claim, or another amount specified in an applicable agreement. These limitations do not apply where prohibited by law.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Finnova and its affiliates, officers, directors, employees, and agents from claims, losses, liabilities, damages, costs, and expenses arising from your use of the Services; violation of these Terms; violation of applicable laws or regulations; Your Content; your transactions or relationships with your customers; or infringement of another person’s rights. We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate with us in that defense.
